Introduction

Please read these Terms of Service (“Terms”) carefully. They contain important information about your legal rights, remedies, and obligations. If you do not agree to any part of these Terms, you may not use or access the Service.

Important notice regarding arbitration:if you are located in the United States, when you agree to these Terms you are agreeing (with limited exceptions) to resolve any dispute between you and us through binding, individual arbitration rather than in court. Please review the section titled “Dispute Resolution” below.

We are Academe, Inc.(“we”, “us”, or “our”), and we offer a research workspace (the “Service”) via academe-ai.com and related domains (the “Site”). These Terms are a legally binding agreement between you (as an individual or, where applicable, the employer you are acting on behalf of) and us. By registering for an account, accessing the Service, or otherwise indicating your assent, you agree to be bound by these Terms.

Using the Service; Eligibility

By using the Service or creating an account, you:

  • Represent that you are of legal age to form a binding contract and are not barred from receiving services under the laws of the United States or any other applicable jurisdiction.
  • Grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, and process your content strictly for the purpose of providing the Service to you, and where you explicitly enable sharing, to other users you designate.
  • Represent that you hold all necessary rights, licenses, and permissions for any content you upload, and that your content does not infringe third-party rights.
  • Agree to comply with all applicable laws, and with any third-party service terms that may apply to integrations you enable.

You must be at least thirteen (13) years of age. Users between 13 and 18 must have parental or guardian consent. Membership where prohibited by law is void.

Your Content

You retain ownership of all documents, notes, drafts, and other material you upload or create in the Service (“Your Content”). We do not claim any intellectual property rights over Your Content.

We do not use Your Content to train AI models. Your Content is processed solely to provide the Service to you, and is stored in an encrypted database isolated from other users.

You are responsible for ensuring that Your Content is lawful, accurate, and does not infringe the rights of any third party.

Term and Termination

These Terms remain in effect for as long as you use the Service. You may delete your account at any time by emailing hello@academe-ai.com. We may suspend or terminate your account for security incidents, unpaid fees, misuse, or material violations of these Terms, with reasonable notice where practical.

If we terminate your account for reasons other than a material breach by you, we will refund any prepaid fees corresponding to periods following termination. Deletion of your account may involve deletion of Your Content; we have no obligation to preserve it beyond the timelines described in our Privacy Policy.

Prohibited Uses

You may use the Service only in compliance with these Terms and applicable law. Without limitation, you may not:

  • Reverse engineer, decompile, or create derivative works from the Service.
  • Resell, sublicense, or redistribute access to the Service or your account.
  • Upload unlawful, defamatory, harassing, obscene, or infringing content.
  • Create or distribute malware, viruses, or other harmful code.
  • Use the Service to commit fraud, violate intellectual property, or harm minors.
  • Misrepresent yourself or the source of your content.
  • Generate or facilitate spam, including unsolicited commercial email in violation of the CAN-SPAM Act or equivalent laws.
  • Interfere with or disrupt the Service, or with other users' use of the Service.
  • Scrape, automate, or extract data from the Service beyond permitted API usage.

We may suspend or terminate accounts that engage in any of the above, with or without notice.

Copyright Policy; DMCA Takedowns

We respect the intellectual property rights of others. If you believe content on the Service infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (“DMCA”) including the information required by 17 U.S.C. § 512(c)(3).

Send DMCA notifications (or counter-notifications) to our Copyright Agent at hello@academe-ai.com. Misrepresentations of material fact in a takedown notification may subject the sender to liability for damages under 17 U.S.C. § 512(f).

Third-Party Services and Accounts

The Service may link to or integrate with third-party services (“Third-Party Services”) including AI providers, storage providers, citation managers, and sign-in providers. We are not responsible for the content, accuracy, or policies of Third-Party Services. Your use of any Third-Party Service is governed by its own terms.

If you connect a Third-Party Service (for example by signing in with Google), that provider may share profile information with us. We use and store this information as described in our Privacy Policy.

Our Intellectual Property Rights in the Service

Excluding Your Content, the Service and all of its features, functionality, design, and code are the exclusive property of Academe, Inc. and are protected by U.S. and international copyright, trademark, and other intellectual property laws. No rights are granted to you other than those expressly set out in these Terms.

Any feedback, suggestions, or ideas you provide about the Service are non-confidential. You grant us a royalty-free, worldwide, perpetual license to use them in our products and services.

Changes to the Service and Terms

We reserve the right to modify the Service at any time, including by adding, removing, or changing features. If a change no longer works for you, your remedy is to stop using the Service and cancel your subscription.

We may also update these Terms from time to time. When we do, we will post the updated Terms on the Site and endeavor to notify you by email. Continued use of the Service after such notice constitutes acceptance of the updated Terms.

Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of title, merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate. AI outputs should be reviewed by you before reliance.

We are not responsible for Your Content, other users' content, or the actions of any third-party service. This disclaimer applies to the maximum extent permitted by law.

Indemnification

You agree to indemnify and hold harmless Academe, Inc.and its officers, employees, and agents from any loss, liability, or expense (including reasonable attorneys' fees) resulting from any claim arising out of Your Content, your use of the Service, your breach of these Terms, or your violation of any law or the rights of a third party.

Limitation of Liability

To the maximum extent permitted by law, in no event will Academe, Inc. be liable for any indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profits, lost data, or loss of research work, arising out of or resulting from your use of the Service, even if we have been advised of the possibility of such damages.

Our maximum aggregate liability to you for any claim is limited to the greater of (i) the amount you paid us for a paid subscription during the twelve (12) months immediately preceding the claim, or (ii) one hundred U.S. dollars ($100).

Time Limit for Claims

Any claim or cause of action arising out of your use of the Service must be filed within one (1) year after the claim arose, notwithstanding any statute or law to the contrary. Claims filed later are permanently barred.

Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles, and by the U.S. Federal Arbitration Act where applicable. Except as set out in “Dispute Resolution” below, the exclusive venue for disputes we are not required to arbitrate is the state and federal courts located in Delaware.

Dispute Resolution

Mandatory arbitration.If you are based in the United States, you and we agree that any dispute arising out of or related to these Terms or your use of the Service (“Disputes”) will be resolved by binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. You and we each waive the right to a jury trial or to participate in a class action.

Exceptions. Either party may (i) bring a Dispute in small-claims court where it qualifies, or (ii) seek injunctive relief to prevent infringement of intellectual property rights.

Informal resolution. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at hello@academe-ai.comwith subject “Dispute Resolution Notice”. If we cannot resolve within 60 days, you may proceed to arbitration.

Class action waiver. You and we agree to bring claims only in an individual capacity, not as a plaintiff or class member in any representative proceeding.

Miscellaneous

These Terms are the entire agreement between you and us regarding the Service. Our failure to enforce any right or provision of these Terms does not waive that right or provision. We may assign these Terms to any affiliate or in connection with a merger or sale of our business. You consent to receive communications from us by email. If any provision is held invalid or unenforceable, the remainder of these Terms will remain in effect.
